The Court-appointed Lead Plaintiffs, the Public Employees’ Retirement System of Mississippi and the Arkansas Teacher Retirement System on behalf of themselves and the Settlement Class (as defined below), have reached a settlement of the action captioned In re Stericycle, Inc. Securities Litigation, Civ. A. No. 1:16-cv-07145 (the “Action”) for $45,000,000 in cash (the “Settlement”).

The Action alleges, among other things, that Defendants violated the federal securities laws by making false and misleading statements regarding Stericycle’s business. A more detailed description of the Action, including the claims asserted, is set forth in paragraphs 11-24 of the Notice.

Following a hearing on July 22, 2019, the Court entered the Judgment finally approved the Settlement and resolving all claims in the Action. The Court also entered a separate Order approving the Plan of Allocation for the proceeds of the Settlement.

The Settlement Class consists of:

All persons or entities who purchased or otherwise acquired publicly-traded Stericycle common stock (“Stericycle Common Stock”) or publicly-traded Stericycle depositary shares (“Stericycle Depositary Shares”) (collectively, “Stericycle Securities”) in the open market during the period from February 7, 2013 through February 21, 2018, inclusive (the “Class Period”), including Stericycle Depositary Shares purchased in or traceable to the public offering of Stericycle Depositary Shares conducted on or around September 15, 2015, and were damaged thereby, except for certain persons and entities who are excluded from the Settlement Class by definition (see paragraph 25 of the Notice).

If you are a member of the Settlement Class, in order to be potentially eligible for a payment from the Settlement,  you were required to submit a Claim Form with adequate supporting documentation postmarked no later than August 7, 2019.

Payments to eligible claimants will be made only after any appeals of the Settlement are resolved, and after the completion of all claims processing. Please be patient, as this process will take some time to complete.

On November 18, 2022, Lead Counsel filed additional briefing In the District Court support of the revised fee request, and on January 30, 2023 the District Court approved the revised fee award motion. The claims administration concluded in December 2023.  On December 15, 2023, Lead Counsel filed a Motion for Approval of Distribution Plan seeking the Court’s permission to distribute the net settlement fund to Court-approved eligible claimants.  Once the Court grants permission for the net settlement fund to be distributed, the distribution of funds will occur thereafter within 4 – 6 weeks.
