Subject to Court approval, the Court-appointed Lead Plaintiffs, the Public Employees’ Retirement System of Mississippi and the Arkansas Teacher Retirement System on behalf of themselves and the Settlement Class (as defined below), have reached a proposed settlement of the action captioned In re Stericycle, Inc. Securities Litigation, Civ. A. No. 1:16-cv-07145 (the “Action”) for $45,000,000 in cash (the “Settlement”). If approved by the Court, the Settlement will resolve all claims in the Action (the “Settlement”).
The Action alleges, among other things, that Defendants violated the federal securities laws by making false and misleading statements regarding Stericycle’s business. A more detailed description of the Action, including the claims asserted, is set forth in paragraphs 11-24 of the Notice.
The Settlement Class consists of:
All persons or entities who purchased or otherwise acquired publicly-traded Stericycle common stock (“Stericycle Common Stock”) or publicly-traded Stericycle depositary shares (“Stericycle Depositary Shares”) (collectively, “Stericycle Securities”) in the open market during the period from February 7, 2013 through February 21, 2018, inclusive (the “Class Period”), including Stericycle Depositary Shares purchased in or traceable to the public offering of Stericycle Depositary Shares conducted on or around September 15, 2015, and were damaged thereby, except for certain persons and entities who are excluded from the Settlement Class by definition (see paragraph 25 of the Notice).
If you are a member of the Settlement Class, your legal rights will be affected whether you act or do not act. Please read the Notice to fully understand your rights and options.
If you are a member of the Settlement Class, in order to be potentially eligible for a payment from the Settlement, you must complete and submit a Claim Form with adequate supporting documentation postmarked no later than August 7, 2019.
Payments to eligible claimants will be made only if the Court approves the Settlement and a plan of allocation, and only after any appeals are resolved, and after the completion of all claims processing. Please be patient, as this process will take some time to complete.

|AUGUST 7, 2019 CLAIM FILING DEADLINE
||To be eligible to receive a payment from the Settlement, you must mail the Claim Form and supporting documentation, postmarked no later than August 7, 2019, in accordance with the instructions in the Notice and Claim Form.
|JULY 1, 2019 EXCLUSION DEADLINE
||To exclude yourself from the Settlement Class, you must submit a written request for exclusion so that it is received no later than July 1, 2019, in accordance with instructions in the Notice.
|JULY 1, 2019 OBJECTION DEADLINE
||Any objections to the proposed Settlement, the proposed Plan of Allocation, or the request for attorney's fees and reimbursement of Litigation Expenses, must be received no later than July 1, 2019, in accordance with instructions in the Notice.
|JULY 22, 2019, at 9:00 a.m., SETTLEMENT HEARING
||The Settlement Hearing will be held on July 22, 2019 at 9:00 a.m., before the Honorable Andrea R. Wood at the United States District Court for the Northern District of Illinois, Eastern Division, Courtroom 1925 of the Everett McKinley Dirksen United States Courthouse, 219 South Dearborn Street, Chicago, IL 60604.
